THE ROLE OF HRM IN CORPORATE GOVERNANCE
Corporate
governance refers to the system of rules, practices and processes by which a
company leads and controlled. It includes the mechanisms through which
stakeholders interest are balanced and aligned with corporate goals. Corporate
governance appeared as a new method of management based on a set of principles
and procedure that govern the administration on one hand. Corporate governance
is an important component of effective Human Resource Management practices.
Since nothing can be said about the appropriate functions of corporate
governance regulations and standards without mentioning HRM which are one of
the ground for achieving the organization objectives. HRM supporting and
enhancing corporate governance via ensuring that ethical practices, compliances
and accountability are established throughout the organization
Developing ethical organizational culture is one of the major HRM contribution in corporate governance. Establishing codes of contact, ethical guideline and polices that govern employee behavior are HR responsibility. Though promoting values such as integrity, transparency and accountability, human resource management ensures all employees, from all level workers to middle management executives, adhere to high ethical standards. Trainings on ethical standard issues such as conflicts, interest and anti-corruption further strengthen these values.
HRM
should ensure that the organization complies with labour laws, employment
regulations and industry standards. This involves staying update on legal
requirement, implementation policies that adhere to these regulations and
conducting regular audits to ensure compliance. Focusing on legal compliance
help HR to protect the organization from legal risk and maintains its
reputation as a responsible corporate entity.
Recruitment
and selection of board members and senior executive who are responsible for the
corporate governance is HRM’s key responsibility. HRM ensures that these
individuals possess the necessary experience and qualification and integrity to
fulfill their roles effectively. Through implementing demanding selection
processes and background checks, HR helps build leadership team that is capable
of guiding the organization towards ethical and sustainable practices
Performance
management is another important area where HRM significantly influence
corporate governance. Establishing clear performance matrix, conducting regular
evaluating, and liking rewards to ethical behaviors and long term goal, HRM
ensure that executives and employees held accountable for their actions. This
accountability is important for maintaining transparency and combining
individual performance with the organizational governance objectives
For an affective corporate governance diverse and inclusive workforce is essential. HRM responsibility is for implementing diversity and inclusion initiatives that ensure a wide range of perspectives are represented at all levels of the organizations, including the boardroom. HRM helps the organization to promoting diversity and make more informed and balanced decision, which is important for good governance.
Key
aspect of corporate governance is succession planning, ensuring that leadership
transition are smooth and that the organization is prepared for the future. HRM
is responsible for identifying and developing talent within the organization,
ensuring that there is a pipeline of capable leader ready to step into key
roles. Effective succession planning mitigate risks associated with leadership
changes and ensures continuity in governance

Human
resource management is essential part to corporate governance, influencing
